“Since we at International Stem Cell Corporation (trading symbol: ISCO.OB) are licensees of some of the key intellectual property necessary to use SCNT in therapeutic products, we were delighted to read about this new discovery.  However, what disappointed us somewhat was the failure of most news reports to mention that a technology already exists that solves the same ethical problems and has the potential also to solve many of the problems of immune rejection that worry scientists who are working with cells obtained from fertilized embryos.

That technology is called "Parthenogenesis" and results in a "cell line" that can provide an essentially unlimited supply of human cells for a wide range of therapeutic purposes, yet does not involve the destruction of any fertilized embryo and results in cells that can be matched to large groups of people who may not even know the patient, much like the way blood from donors can be stored and used by accident victims as needed. Unlike the SCNT cells, parthenogenetic cells require no genetic manipulation or insertion of foreign DNA.

International Stem Cell Corporation Chairman Comments on UC San Diego Study That Finds Therapies Using Induced Pluripotent Stem Cells Could Encounter Immune Rejection Problems

Scientists at the University of California, San Diego, announced last week that they had discovered that the class of stem cells known as "induced pluripotent stem cells" or "iPS" cells could cause an immune rejection problem when transplanted into mice. Scientists had hoped that these cells would have two big advantages over embryonic stem cells: they would not be controversial because their creation did not entail the destruction of human embryos; and, since the stem cells could be made from a particular patient’s skin cells, they could be used to make tissues that would not be rejected by the patient’s own immune system. Although responses in humans may be different, the discovery of an immune response in mice suggests that the second of these hopes may not be so easily realized.

That is disappointing news in many ways, but it illustrates what we at International Stem Cell Corporation (ISCO) think will be one of the great benefits of the Parthenogenetic Stem Cells our scientists have created and patented.

Parthenogenetic stem cells are not only pluripotent they also do not involve any destruction or damage to a viable human embryo. Since they are never fertilized (and can't become a child) they carry the DNA of only the egg donor and not the added DNA of a father or other sperm donor. This results in the possibility of matching these cells to large groups of people without causing immune response problems.

The science is a bit complicated, but the result is illustrated by the fact that the very first stem cell line ISCO created using its newest techniques has the potential to match the immune systems of over 50 million people. With the right donors, cell lines from as few as 50 donors (one respected scientist has said as few as 10 donors) could match a very large portion of the world's population. There is a lot of work yet to be done, but if one thinks of it as comparable to a blood bank, but for stem cells instead, the concept becomes quite exciting.

Lastly, even if iPS cells are never used for transplant therapy, they still have wonderful research potential, so those who hoped for medical breakthroughs using them should not despair. They are, and will be, very important, even though there are better pathways to transplant therapy.

Proactiveinvestors Completes First European Presentations with NeoStem and International Stem Cell Corp


Proactiveinvestors completed its first investor forums in mainland Europe, in partnership with Milestone Media, last week, hosting presentations in Zurich and Munich with US listed companies NeoStem (AMEX:NBS) and International Stem Cell Corporation (OTC:ISCO).

Both investor forums were a great success, with notable attendees including Infidar Investment Advisory, BB Bellevue Asset Management, Centrum Bank, Taylor Wessing, BVMW and UBS Global Asset Management.

NeoStem’s CEO and Chairman Robin Smith updated investors on the company’s adult stem cell operations in the U.S., network of adult stem cell therapeutic providers in China, and recent acquisition of a 51% interest in a profitable Chinese generic pharmaceutical manufacturing company.

Lifeline Cell Technology Products Being Used As Models for Drug Testing

International Stem Cell Corporation Discusses Recent Funding

International Stem Cell Corporation (OTCBB:ISCO) announced on December 30 that it had received the first $1 million tranche of an anticipated private equity financing of up to $5 million to be funded over the next several months. Officials of the Company commented today on the significance of that funding.

"This is a first major step toward the Company's goal of becoming financially self-sufficient," said Kenneth Aldrich, CEO of the Company. Mr. Aldrich noted that the anticipated $5 million of funding is targeted toward three objectives: (1) eliminating $1 million of outstanding secured debt; (2) supporting critical first quarter pre-clinical trials that could be instrumental in enabling corporate joint venture financing; and (3) providing marketing and expansion capital designed to increase revenues from the Company's "Lifeline" subsidiary, which makes and sells specialty cells and growth media.

"Although additional financing will be needed in 2009 to reach our goal, we believe our Lifeline subsidiary has the ability to bring the company to profitability within 2 years and support the clinical research of the company thereafter," said Jeffrey Janus, President and Chief Operating Officer of ISCO and CEO of its Lifeline subsidiary.

The current financing is in the form of a new class of Convertible Preferred Stock, convertible into common stock at $0.25/share. The new Preferred Stock carries an initial dividend of 10% per annum, reducing to 6% in two years, payable quarterly. The sale of the Preferred is scheduled to close on the following schedule: (1) $1,000,000 was funded December 30, 2008; (2) subject to determination by the Investors that there has been no material adverse event with respect to the Company, $1,000,000 will be funded February 5, 2009; and (3) at the Investors' discretion, three additional tranches of $1,000,000 each will be funded on March 20, 2009, June 30, 2009 and September 20, 2009. "Because our Investors will be actively involved with current management in operating the company, with opportunity to participate in all critical decisions, we expect that all tranches will be funded as scheduled," said Mr. Aldrich.

Pursuant to the terms of the financing agreement, on December 30, 2008 the Company appointed Mr. Andrei Semechkin (as the designee of the holders of Series D Preferred) to the Board of Directors for a term that expires at the next annual meeting of stockholders, and entered into an Employment Agreement with Mr. Semechkin. Because the financing agreement provides for the size of the Board to remain at seven directors, Mr. Edward O. Hunter resigned from the Board, but will continue to serve the Company as a member of the Company's Financial Advisory Board.

"Mr. Semechkin will add extensive business and international experience to our Board, and, although we will greatly miss Mr. Hunter's direct participation on the Board itself, his willingness to maintain a high level of involvement with the Company will mean we have not lost the benefit of his experience and wisdom," said Mr. Aldrich.

International Stem Cell Corporation (OTCBB:ISCO) announced today that it had received the first $1 million tranche of an anticipated private equity financing of up to $5 million to be funded over the next several months. The total amount of the financing is intended to allow the Company to retire its existing secured debt and fund operations of the Company as it moves forward with planned pre-clinical trials in the first quarter of 2009. "This is an important vote of confidence by a sophisticated investor group and we believe it is a major first step on the path to making our company financially independent," said Kenneth Aldrich, CEO of the Company.

The financing is in the form of a new class of Convertible Preferred Stock, convertible into common stock at $0.25/share, a 25% premium over the closing price on the day of signing the agreement. The new Preferred Stock carries an initial dividend of 10% per annum, reducing to 6% in two years. Summing Up Stem Cells by Kenneth Aldrich

As I have been traveling around the U.S. talking to editors and financial analysts about our company, International Stem Cell Corporation (“ISCO.OB), I am constantly struck by how much confusion there is about what stem cells are, what the difference is between “adult” and “embryonic” stem cells, and how they can be used in developing ways to treat dreadful diseases. Let me offer some thoughts that may be helpful.

First of all, let me refer you to what I think is the finest explanation of stem clls for the non-scientist I have ever read. It is contained in an article by Dr. Douglas Melton of Harvard University that was recently published in the Bulletin of the American Academy. (http://www.amacad.org/publications/bulletin/summer2007/stemcell.pdf). I urge anyone interested in understanding the world of stem cells to download it and read it.

However, there is one thing not covered by the article because it was not widely known at the time. Dr. Melton speaks of the differences between adult stem cells, which are limited in their capacity to become other types of cells, and embryonic stem cells, which can become any cell in the body. Embryonic stem cells are also at the heart of all the current debate about the ethics of stem cell research because they are obtained from fertilized human eggs.

What was not widely known at the time of Dr. Melton’s article is that there is a way of creating stem cells that have the same capacity to be changed into any cell in the body that might be needed for therapy or research, but do not use fertilized eggs. These are stem cells developed by my company, International Stem Cell Corporation, created by a process called Parthenogenesis. The cells are called Parthenotes. At the risk of sounding like a commercial, let me explain why we think these cells are so important.

The first reason is obvious. By avoiding the need to use fertilized eggs, we believe we can put to rest the fears of those who believe that destroying a fertilized embryo is destroying a human life. For reasons that can get quite technical, it is generally agreed that in humans a Parthenote cannot be implanted back into the donor’s womb and grow to be a human being. It is a cluster of cells that can still produce any cell in the body, but lacks a critical element necessary to allow it to attach to the uterus and become a baby.

The second reason is even more important. Any implanting of a cell to treat a disease is like transplanting a miniature organ. If you don’t have a match with the patient’s immune system, the body will reject the cell. It is one of the big problems not yet solved in cell transplant therapy and millions of dollars have been spent trying to find ways to trick the body into not attacking the implanted cell.

We think we have a better way by far. Because Parthenotes contain only the dna of the mother from whose egg they were derived, and not that derived from a father’s sperm, it is possible to create cells from a single stem cell line that can match the immune profile of hundreds of millions of people. That means that instead of having to search through hundreds of thousands of cell lines trying to find one that matches, a very small number of lines might suffice for most of the world’s population.

I’ll have more to say on the subject in a later posting, but this is probably enough for today.

International Stem Cell Corporation Creates Human Stem Cell Lines That Can Eliminate Immune Rejection by Patients;

Discovery is a Step Closer to a Universal Stem Cell Line for Human Therapeutics and Creation of a Global Stem Cell Bank

Oceanside, California, December 19, 2007— Scientists at International Stem Cell Corporation (OTCBB: ISCO) have created unique human stem cell lines that make them easily "immune matched" to human beings and could enable the creation of a bank of stem cells that could be used, without rejection, by a majority of the different people and races of the world.
